Welcome to groupbuy.lk (“Platform”), operated by Future World International Pvt Ltd, a company duly incorporated under the laws of Sri Lanka (hereinafter referred to as “Company”, “we”, “us”, or “our”).

By accessing or using groupbuy.lk, you agree to be legally bound by these Terms and Conditions. If you do not agree, you must not use this Platform.

1. NATURE OF THE PLATFORM

1.1 groupbuy.lk is a multi-vendor online marketplace that facilitates transactions between independent sellers (“Vendors”) and buyers (“Users”).
1.2 The Company is not the seller of products unless explicitly stated.
1.3 The Company acts solely as an intermediary and shall not be liable for product quality, safety, legality, accuracy, delivery, or warranties provided by Vendors.

2. ELIGIBILITY

2.1 Users must be at least 18 years old.
2.2 By registering, you confirm that all information provided is accurate and lawful.
2.3 The Company reserves the right to suspend or terminate accounts at its sole discretion.

3. VENDOR RESPONSIBILITIES

Vendors agree that:

  • All products comply with Sri Lankan laws and regulations.
  • They possess all required licenses and approvals.
  • Products do not infringe intellectual property rights.
  • Listings are truthful and not misleading.
  • Pricing is accurate and transparent.
  • They are fully responsible for fulfillment, returns, warranties, and after-sales service.

The Company assumes no liability for Vendor misconduct.

4. CONTENT POLICY

4.1 Users and Vendors are solely responsible for any content uploaded (text, images, videos, trademarks, logos).
4.2 You grant the Company a worldwide, perpetual, royalty-free, irrevocable license to use, modify, reproduce, publish, and distribute such content for business purposes.
4.3 The Company may remove any content at its sole discretion without notice.

5. PAYMENTS

5.1 Payments may be processed through third-party payment gateways.
5.2 The Company shall not be liable for payment gateway failures, banking errors, or transaction delays.
5.3 Commission fees and service charges are non-refundable unless otherwise agreed in writing.

6. DELIVERY & RETURNS

6.1 Delivery timelines are estimates only.
6.2 The Company is not responsible for delays caused by Vendors, courier services, or force majeure events.
6.3 Return and refund policies are determined by individual Vendors unless stated otherwise.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • The Platform is provided “AS IS” and “AS AVAILABLE”.
  • The Company disclaims all warranties, express or implied.
  • The Company shall not be liable for:
  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, goodwill, or reputation
  • Vendor misconduct
  • Product defects
  • Third-party actions

Total liability of the Company shall not exceed the amount of commission earned from the specific transaction giving rise to the claim.

8. INDEMNIFICATION

Users and Vendors agree to indemnify and hold harmless the Company, its directors, shareholders, employees, and agents from any claims, damages, losses, legal costs, or liabilities arising from:

  • Breach of these Terms
  • Violation of Sri Lankan law
  • Intellectual property infringement
  • Consumer disputes
  • Fraudulent activities

9. INTELLECTUAL PROPERTY

All platform design, software, branding, logos, trademarks, and content belong exclusively to Future World International Pvt Ltd.

No material may be copied, reproduced, or used without written consent.

10. FRAUD & ABUSE

The Company reserves the right to:

  • Investigate suspicious activities
  • Share user information with law enforcement authorities
  • Suspend or permanently ban accounts
  • Withhold payouts during investigations

IP addresses and device information may be logged for compliance and fraud prevention.

11. DATA PROTECTION & PRIVACY

By using the Platform, you consent to the collection and processing of personal data for:

  • Account management
  • Order processing
  • Marketing (unless opted out)
  • Legal compliance
  • Fraud prevention

The Company may share data with:

  • Payment processors
  • Delivery partners
  • Law enforcement authorities
  • Service providers

12. FORCE MAJEURE

The Company shall not be liable for failure or delay due to events beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Government actions
  • Internet outages
  • Civil unrest
  • Pandemic situations

13. TERMINATION

The Company may suspend or terminate access at any time without prior notice for violation of these Terms.

Termination does not affect accrued rights or liabilities.

14. THIRD-PARTY LINKS

The Platform may contain links to third-party websites. The Company is not responsible for the content, policies, or actions of such websites.

Users access third-party sites at their own risk.

15. MODIFICATIONS

The Company reserves the right to amend these Terms at any time.
Continued use of the Platform constitutes acceptance of updated Terms.

16. GOVERNING LAW & DISPUTE RESOLUTION

16.1 These Terms shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.
16.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
16.3 The Company may elect to resolve disputes through arbitration under Sri Lankan arbitration laws.

17. SEVERABILITY

If any provision of these Terms is found invalid under Sri Lankan law, the remaining provisions shall remain enforceable.

18. NO PARTNERSHIP

Nothing in these Terms creates partnership, joint venture, agency, or employment between the Company and Vendors.
